GTCR To Sell Worldpay To Global Payments For $24.25 Bln
(RTTNews) - Thursday, private equity firm GTCR announced an agreement to sell Worldpay, a merchant acquiring and payments processing firm, to Global Payments Inc. (GPN) as part of a transformative three-way transaction.
In 2023, a 55 percent stake in Worldpay was acquired by GTCR from Fidelity National Information Services, Inc. (FIS), which continued to retain 45 percent ownership in the firm.
In the current deal, Global Payments will acquire ownership of Worldpay from GTCR and FIS for a total consideration of $24.25 billion in a cash and stock deal.
In return, GTCR will receive 59 percent cash and 41 percent stock consideration. Upon closing, GTCR will own shares representing 15 percent of Global Payments' outstanding shares.
Meanwhile, FIS will acquire Global Payments' Issuer Solutions business, at an enterprise value of $13.5 billion.
The sale of Worldpay and the sale of Global Payments' Issuer Solutions business are cross-conditioned upon one another and are expected to close in the first half of 2026.
In the pre-market shares, FIS's stock is trading at $68, down 0.93 percent, and Global Payments' stock is trading at $80.57, down 4.22 percent on the New York Stock Exchange.
